Welcome to My Text R Us! We are so glad that you're interested in learning about our products. This is our Terms of Service, which governs all use of the services (including websites) provided by Text R Us LLC d/b/a My Text R Us (hereinafter referred to as "My Text R Us"). Please review it carefully. By accessing or using any of our websites or services, you are agreeing to these Terms.

1. Overview

These Terms of Service ("Terms") applies to all access to or use of the My Text R Us websites, offerings, and services (collectively, "Services"). The Services are described in more detail in Section 3. My Text R Us provides you with these Services subject to your acceptance, without any modifications, of the Terms, as well as any other operating rules and policies that My Text R Us publishes on its website, such as our privacy policies (collectively, the "Agreement"). By accessing one of our Services, you represent that you have reached the age of majority for where you live or, if you are under the age of majority (a "Minor"), that you have received your parent's or legal guardian's permission to use the Services and agree to these Terms. If you are a parent or legal guardian of a minor, you agree to bind the Minor to these Terms and to fully indemnify and hold us harmless if the Minor breaches any of these Terms.

PLEASE REVIEW THIS AGREEMENT CAREFULLY. BY ACCESSING OR USING ONE OF MY TEXT R US'S SERVICES, YOU ACCEPT THE TERMS OF THIS AGREEMENT AND IT BECOMES A LEGALLY BINDING COMMITMENT BETWEEN YOU AND MY TEXT R US. IF YOU DO NOT AGREE WITH ANY PORTION OF THE AGREEMENT OR IF YOU DO NOT INTEND TO USE THE SERVICES IN ACCORDANCE WITH THESE TERMS, YOU MAY NOT ACCESS OR USE ANY MY TEXT R US SERVICE; YOU SHOULD LEAVE THIS WEBSITE IMMEDIATELY BY CLOSING YOUR INTERNET BROWSER WINDOW.

We reserve the right to change these Terms from time to time, and any revised Terms will supersede prior versions. Any updates to these Terms shall be posted on this website and, if you have registered for an account with us, we will describe the modifications to these Terms in an email that we will send to the address in our records associated with your account. Unless indicated otherwise, they will be effective on the date listed at the top of the Terms. If we make any material modifications to the Services or our price for any Services to which you have subscribed, we will notify you by email at least 30 days before such change takes effect, and you may cancel your subscription if you do not agree to such change(s).

2. The Parties

2.1. Definitions

In this Agreement, "we," "us," or "our" refers to My Text R Us. "You," "your," and "Customer" refers to you personally, unless you are accessing or using our Services on behalf of an organization that does not have an existing contract with My Text R Us that governs your actions. If the latter is the case, you are accepting the Terms for that organization and representing that you have the authority to bind the organization to the Terms; as such, "you," "your," and "Customer" will refer to the organization. If the organization already has a separate contract with My Text R Us that covers your access and use of our Services, however, the contract will govern, as opposed to these Terms.

2.2. Affiliates

In this Agreement, an "affiliate" is an entity or person that controls a party, is controlled by a party, or is under common control with a party (such as a subsidiary, parent company, or employee). Each party to this Agreement will be responsible for the acts and omissions of their affiliates in connection with this Agreement.

3. The Services

When we refer to our Services in the Terms, we are referring to any of our platform services, including our programs, features, websites, account portals, mobile applications, and technical support. The Terms apply equally to any rebranded or white label version of My Text R Us's platform services. Our services are for commercial/business use and are not for personal or household use.

Among our Services are mobile applications that permit users to access and use My Text R Us Services via mobile devices ("Mobile Applications"). To use a Mobile Application, you must have a mobile device that is compatible with it. We do not warrant that any of our Mobile Applications will be compatible with your mobile device. We hereby grant you a limited, non-exclusive, non-transferable, revocable license to download and use object code copies of the Mobile Application for one registered account on mobile devices owned or leased by you, solely for your personal use. You may not: (i) modify, disassemble, decompile or reverse engineer the Mobile Application, except to the extent that such restriction is expressly prohibited by law; (ii) rent, lease, loan, resell, sublicense, distribute or otherwise transfer the Mobile Application to any third-party or use the Mobile Application to provide time sharing or similar services for any third-party; (iii) make any copies of the Mobile Application; (iv) remove, circumvent, disable, damage or otherwise interfere with security-related features of the Mobile Application, features that prevent or restrict use or copying of any content accessible through the Mobile Application, or features that enforce limitations on use of the Mobile Application; or (v) delete the copyright and other proprietary rights notices on the Mobile Application. You acknowledge that we may from time-to-time issue upgraded versions of the Mobile Application and may automatically electronically upgrade the version of the Mobile Application that you are using on your mobile device. You consent to such automatic upgrading on your mobile device and agree that these Terms will apply to all such upgrades. The foregoing license grant is not a sale of the Mobile Application or any copy thereof, and we and our third-party licensors or suppliers retain all right, title, and interest in and to the Mobile Application (and any copy of the Mobile Application). Standard carrier data charges may apply to your use of the Mobile Applications.

4. SMS and MMS Messaging

My Text R Us provides a SMS marketing platform that enables businesses to send marketing and promotional messages — including promotional offers, discounts, sale announcements, and marketing communications — to individuals who have explicitly opted in to receive text messages. The following terms and conditions apply to all SMS and MMS messaging sent through our Services:

• Opt-In Required. You may only send SMS or MMS messages to recipients who have provided prior express written consent to receive messages from you. You must maintain records of such consent and produce them upon request.
• Message Frequency. Message frequency varies. You must clearly disclose the expected message frequency at the point of opt-in.
• Message and Data Rates. Message and data rates may apply to recipients. You must disclose this at the point of opt-in.
• Opt-Out. Every message must include clear opt-out instructions, such as "Reply STOP to opt out." Opt-out requests must be processed immediately and the recipient excluded from all future campaigns.
• Help. Every message must include help instructions, such as "Reply HELP for help."
• Consent Not a Condition of Purchase. You must clearly state that consent is not a condition of purchase at the point of opt-in.
• Compliance Footer. My Text R Us automatically appends a CTIA-compliant footer to messages that includes STOP, HELP, and rate disclosure where not already present.

5. Acceptable Use

You agree to use My Text R Us only for lawful purposes and in compliance with all applicable laws and regulations, including but not limited to:

• The Telephone Consumer Protection Act (TCPA)
• Applicable U.S. carrier messaging requirements and industry best practices
• The CAN-SPAM Act (for email communications)
• CTIA Messaging Principles and Best Practices
• The Cellulart Telecommunications Industry Association (CTIA) Messaging Principles and Best Practices
• All applicable state and federal telemarketing laws

You may only send messages to recipients who have explicitly opted in to receive communications from you. You are responsible for complying with these Terms when you access and use the Services. It is your responsibility to obtain and maintain all equipment and services needed for you to access and use the Services.

6. Consent Requirements

Before sending any SMS message to a contact through My Text R Us, you must obtain explicit, verifiable opt-in consent from that contact. You are solely responsible for:

• Obtaining and documenting consent from every contact before sending them messages.
• Clearly disclosing the type and frequency of messages the contact will receive at the point of opt-in.
• Maintaining records of consent that can be produced upon request by My Text R Us, carriers, or regulatory authorities.
• Ensuring contacts can easily opt out at any time.

By adding contacts or importing phone numbers into the platform, you confirm that all such contacts have provided consent to receive SMS communications from your business.

7. Anti-Spam Policy

My Text R Us has a zero-tolerance policy for spam and unsolicited messaging. The following are strictly prohibited:

• Sending messages to recipients who have not explicitly opted in.
• Purchasing, renting, or scraping phone number lists to upload into the platform.
• Sending messages to contacts who have opted out (replied STOP or otherwise indicated they no longer wish to receive messages).
• Using deceptive subject lines, sender names, or message content.
• Sending content that is illegal, harassing, fraudulent, or otherwise prohibited.
• Attempting to circumvent opt-out mechanisms or carrier filtering.

Violations of this anti-spam policy may result in immediate account suspension, message blocking by carriers, and termination of your access to the platform without refund.

8. Opt-Out Handling

My Text R Us automatically processes standard opt-out keywords (STOP, UNSUBSCRIBE, CANCEL, END, QUIT) and help keywords (HELP, INFO) in accordance with carrier requirements. When a contact opts out, they are immediately excluded from all future campaigns. You must not attempt to re-add an opted-out contact to your lists without obtaining fresh, documented consent.

9. Message Content Restrictions

You may not use My Text R Us to send any of the following:

• Content related to illegal drugs, controlled substances, or drug paraphernalia.
• Content related to weapons, firearms, or explosives.
• Adult, sexual, or explicit content.
• Content that promotes hate speech, discrimination, or violence.
• Content that violates intellectual property rights.
• Phishing, malware, or fraudulent content.
• Any content prohibited by applicable carrier messaging guidelines.

10. Business Verification and A2P 10DLC

To comply with applicable U.S. carrier messaging requirements, all business users must complete a business verification process before being approved to send messages. This includes providing accurate business information (EIN, legal business name, address, and contact details). Providing false or misleading information during verification may result in account termination.

My Text R Us registers campaigns with the Campaign Registry (TCR) for A2P 10DLC messaging as required by U.S. wireless carriers. You agree to provide accurate campaign information and to use messaging in accordance with the campaign use case registered on your behalf. You acknowledge that carrier approval is required before messaging can commence and that carriers may reject or suspend campaigns at their discretion.

11. Fees and Credits

My Text R Us operates on a subscription and credit-based model. Message sending consumes credits from your account balance. You are responsible for maintaining sufficient credits to send campaigns. Fees and credit pricing are described on our pricing page and may change with notice. Unless otherwise specified, all fees are billed in advance and are non-refundable. You are responsible for all charges incurred under your account, including charges for messages sent.

12. Account and Security

You must be at least 18 years old and legally able to enter into contracts to use My Text R Us. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information during registration. You agree to notify us immediately of any unauthorized use of your account or any other security breach.

13. Intellectual Property

All content, features, and functionality of the Services, including text, graphics, logos, and software, are the exclusive property of My Text R Us and its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our prior written consent.

14. Disclaimers

My Text R Us is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee message delivery, as delivery depends on carrier networks and recipient devices. We do not warrant that the Services will be uninterrupted, error-free, or secure. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

15. Limitation of Liability

To the maximum extent permitted by law, My Text R Us shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Services. Our total liability for any claim arising from these Terms or your use of the Services shall not exceed the amount you paid for the service in the preceding three months.

16. Indemnification

You agree to indemnify and hold harmless My Text R Us and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any law or the rights of any third party, including claims arising from messages you send through the platform.

17. Termination

We may suspend or terminate your account at any time if you violate these Terms, if required by carriers or regulators, or at our discretion. Upon termination, your right to use the platform ceases immediately. You may cancel your account at any time by contacting us at support@mytextrus.com.

18. Changes to These Terms

We may update these Terms from time to time. Continued use of the platform after changes are posted constitutes acceptance of the revised Terms.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the courts located in Delaware.
